The verification agency, who must be an IRBA registered auditor, must have have a significant reservation about the validity of the share holding.
The certificate is pretty simple, but the other requirements relating thereto are onerous.
Basically the certificate must describe the company it is for, the holder, the number and type of shares and if there are any voting restrictions. It must be signed on issue by at least a director.
Depending on the circumstances, the instrument of transfer is pretty important too.

Hi, thanks for responding. All those requirements are on the certificate. They say it is erroneous because it’s not stamped
