Please can you tell me the requirements for a valid share certificate. I have a dispute with a BEE verification agency and I am losing goodwill of my client over it
The verification agency, who must be an IRBA registered auditor, must have have a significant reservation about the validity of the share holding.
The certificate is pretty simple, but the other requirements relating thereto are onerous.
Basically the certificate must describe the company it is for, the holder, the number and type of shares and if there are any voting restrictions. It must be signed on issue by at least a director.
Depending on the circumstances, the instrument of transfer is pretty important too.
