    Authority to File CIPC forms for a company?

    Hi,

    I'd be obliged if anyone can advise what authority is required to file various changes for a company with CIPC. I have registered as a customer and have sufficient credit and now wish to file the following documents:

    CoR 39 New director appointment
    CoR 39 Existing director change of residential address
    CoR 21.1 Company registered address change
    CoR44 Resignation of and appointment of auditors
    Annual Return

    Is a board resolution required approving my authority to file with CIPC and then a separate mandate on the company's letterhead together with a certified copy of my ID?

    Hi Moriarty

    Authority is inherent in the process, as you are required to file a letter of mandate signed by the directors for any of the matters you note, as well as (in most cases) minutes of the decision giving reason to the matter.

    I note that there was a board resolution several years back giving the auditors the authority to change the company's email address with CIPC to their email address in order to file changes at that time; do you think that there is any requirement for me to change that email address to my own?

    No. As the CIPC customer you will always receive the necessary, because each event is driven by your actions afresh.
