    Landlord wants my certificate of incorporation

    We already have a signed contract for a 3 year lease. He requested the 3 year term citing he needs it for a bank loan application.

    Then he insisted on a resolution to prove the signatories to the lease have the power to sign it.

    Now he wants the certificate. Why would he, whats brewing?

    I trust your landlord only needs a certified copy and not the original.

    Frankly, it's standard "know your client" stuff. The company's certificate of incorporation is essentially it's ID document.

    I guess he wants to make sure that you are authorised to sign on behalf of the company and checks that the people on the resolution are actually members of the company too. If CPA applies a lease cannot be signed for longer than 24m unless there is a benefit for you the consumer to sign for longer. This is to my limited knowledge.
